SHARE CAPITAL

The minimum share capital is 30’000 EUR.

SHARE HOLDERS

There are no requirements regarding nationality or residency. The shareholders can be a legal or natural person.

DIRECTORS

There must be at least 1 director, with no requirement for local director. Certain industries require a business license, in which case a director who is resident in Luxembourg or the EU is recommended.

REGISTERED OFFICE

All companies must have a registered address in Luxembourg.

FILLING REQUIREMENTS

All companies must file annual financial statements and annual tax returns.

STEP 1: GET YOUR DOCUMeNTS IN ORDER

  • Order your bank reference letter

  • Prepare your proof of residence, for example your last phone or electricity bill (not older than 3 months)

  • Prepare your passport copy: the passport should be valid for at least another 6 months

STEP 2: SIGN FOR REGISTRATION 

  • Sign F Trust’s mandate agreements

  • We will prepare the application for incorporation, the memorandum and articles and open the account on behalf of the company to transfer the share capital of EUR 30’000

  • Please note, the bank may ask for a personal meeting with the shareholder before activating the account for compliance procedure

  • As soon as the share capital is credited to the account, we will proceed with the company incorporation: this includes a Notary meeting and registration of the company on the Luxembourg trade register

  • The company is from now on ready to use
